Special Reminder
To ensure you can better provide live streaming services to other users on the Sallochat platform (hereinafter
referred to as "the Platform"), this 《Host Onboarding Agreement》 (hereinafter referred to as "this Agreement")
is
formulated. This Agreement aims to inform you of the onboarding matters, live streaming code of conduct, breach
handling, and other relevant content of the Platform. Before applying to become a Host on the Platform, you must
carefully read and fully understand all terms of this Agreement.
We specially remind you to carefully read all clauses of this Agreement before becoming a Host, especially the
clauses that exempt or limit our liability, restrict your rights, and those requiring your special attention,
such
as Host onboarding rules, Host code of conduct, and liability for breach of contract. These clauses are
highlighted in bold black to ensure you fully understand each term of this Agreement.
Please carefully read and choose to accept or reject this Agreement. If you disagree with any clause of this
Agreement, you shall not apply to become a Host. Once you click "Accept", or become a Host and conduct live
streaming activities on the Platform, it shall be deemed that you have agreed to and accepted all clauses of
this
Agreement. Thereafter, you shall not raise any form of defense on the grounds of not having read/not agreeing to
the content of this Agreement or similar reasons.
I.Host Onboarding Rules
1. Age Requirement
You warrant that before applying to become a Host on the Platform, you must be at least 18 years old or reach
the legal adult age stipulated by the laws of your country/region. If you are under 18 years old or have other
restrictive circumstances, you shall immediately cease the onboarding application process. Otherwise, all legal
liabilities and consequences arising from disputes, controversies, etc. shall be borne by your legal guardian
and/or yourself, and you shall compensate the Platform for all losses incurred thereby.
2. Qualification Requirements
Before applying to become a Host on the Platform, you shall meet the following qualification requirements:
(1) Possess a sense of responsibility and good moral character;
(2) Have basic professional ethics, good service awareness, high emotional intelligence, patience, and strong
time management skills;
(3) Possess unique talents and at least one outstanding skill;
(4) Have good communication skills;
(5) Have applied to join a guild organization within the Platform.
3. Onboarding Review
Within 3-7 working days after you submit the onboarding application, the Platform will notify you of the result
of Host certification through in-site messages or other means. If you have any questions, you can contact
customer service at any time.
You shall ensure the authenticity, legality of the application materials you submit and their compliance with
the Platform's rules. Otherwise, all legal liabilities and consequences arising from disputes, controversies,
etc. shall be borne by your legal guardian and/or yourself, and you shall compensate the Platform for all losses
incurred thereby.
II. Host Account Usage Requirements
1. Account Usage
After you fill in the information as prompted on the Host onboarding page, read and agree to this Agreement,
complete all onboarding processes or procedures, and pass the Platform's review, you will obtain a Host account
on the Platform (hereinafter referred to as "the Account"). Since your Host account is associated with your
personal or guild information and the Platform's commercial information, your Host account is for your personal
use only. It is prohibited to gift, lend, rent, share, transfer, sell, or otherwise directly or indirectly allow
third parties to use the account. Otherwise, you shall bear all responsibilities and consequences arising
therefrom. If the Platform has reasonable grounds to suspect that your account usage may endanger the security
of your account and/or the Platform's information security, the Platform may unilaterally refuse to continue
providing corresponding services to the account or directly terminate this Agreement.
2. Account Transfer
Due to the fact that the account is associated with the privacy and transaction information of other users of
the Platform, you may only transfer the account if there are explicit legal provisions, judicial rulings, or
with the Platform's consent, and in accordance with the account transfer process specified in the Platform's
rules. Once your Host account is transferred, all rights and obligations under the account shall be transferred
accordingly. Except for the above circumstances, your Host account shall not be transferred in any way.
Otherwise, the Platform has the right to take one or more measures such as freezing, closing the account,
suspending or terminating your live streaming activities, pursue your liability for breach of contract in
accordance with this Agreement or the Platform's rules, and all responsibilities and consequences arising
therefrom shall be borne by you.
3. Account Security
Your Host account is set and maintained by yourself, and the Platform will never take the initiative to request
you to provide the account password at any time. Therefore, it is recommended that you keep your account
properly. The Platform shall not be liable for any losses and consequences caused by your active disclosure of
the account and password, or attacks, fraud, or other acts suffered by you. You shall recover from the infringer
through judicial, administrative, or other remedies.
III. Host Code of Conduct
You warrant that you will not engage in the following acts on or through the Platform:
1. Disseminate inappropriate political, religious, racial, or ethnic content; content that undermines public
trust in law enforcement agencies; content that defies the government or incites dissatisfaction with the
government; content that mocks, defames, or ridicules racial or religious groups and communities; content that
incites racial or religious tensions; content that disrupts social order, promotes or disseminates violence,
terrorism, or extremism, incites crimes, or incites illegal assemblies; and any other content that violates laws
and regulations or may cause serious negative consequences (including false information on the above
topics);
2. Disseminate pornographic and/or obscene materials and/or content, infringing content, and other content that
violates laws and regulations;
3. Disseminate content and/or expressions related to prohibited drugs in any form or manner, including but not
limited to usage methods or production processes;
4. Disseminate content related to gambling and betting in any form or manner;
5. Make remarks that discriminate against or insult religions, races, or regions in any form, and any content
that endangers or threatens the safety of others;
6. Engage in any acts that harm the Platform's interests, disrupt the Platform's order, or disseminate
unauthorized third-party information in any form;
7. Engage in fraudulent acts and fraud-related activities in any form, or activities that cause harm to the
interests of other users or Hosts, such as transferring illegal funds through various channels, or causing
property losses to other users or Hosts in any other way;
8. Use resources such as promotions and coupons provided by the Platform for inappropriate gifting
behaviors;
9. Collude with third parties competing with the Platform or instigate others to collude, or maliciously promote
other platforms to other users;
10. Collect and/or intend to collect or receive payments through bank transfers or any other means without the
Platform's confirmation and consent;
11. Disclose important information or privacy of other users or the Platform;
12. Disseminate false information and news that damages the Platform's reputation and users' reputations;
13. Encourage, incite, or instigate users to conduct transactions on the Platform in any form or manner;
14. Account avatar, account information, or service behaviors that do not comply with the Platform's rules or
requirements;
15. Participate in malicious ranking, vicious competition or marketing, or maliciously defame other Hosts on the
Platform;
16. Other acts that violate laws and regulations and the Platform's rules.
If you engage in one or more of the above acts, the Platform has the right to take one or more punitive measures
against you, including but not limited to temporarily banning the account for 2 hours, permanently banning the
account, etc. All legal liabilities and consequences arising therefrom shall be borne by you, and we have the
right to require you to compensate for all economic losses. In addition, the Company has the right to report to
the relevant competent authorities as appropriate.
IV. Host Rights and Interests
In the event of the following circumstances, the Platform supports you to immediately stop the relevant acts,
recommends that you retain relevant evidence, terminate the service, and contact customer service for
intervention in a timely manner:
1. Users forcibly request services outside the Platform and fail to communicate effectively;
2. Users maliciously harass, involve pornographic content, insult, or personally attack Hosts;
3. Users engage in other acts that violate laws and regulations or the Platform's rules.
V. Confidentiality Obligations
1. You shall strictly comply with our confidentiality system and warrant to keep our trade secrets confidential
indefinitely. If you use or disclose our trade secrets and information in violation of the agreement, causing us
to suffer any direct or indirect losses in reputation, fame, or economy, you shall compensate us for all losses
incurred thereby.
2. Trade secrets refer to all non-public information provided by us, or known to you during the cooperation
between both parties, or for which we have confidentiality obligations to third parties, related to our
business, capable of bringing economic benefits to us, and having practicality, including (but not limited to):
technical information, business information, and information and documents related to our administrative
management (including the content of this Agreement and related agreements), the amount and settlement method,
standards, ownership of rights, authorization method of service fees obtained by you from us, customer lists,
contact information, service fees, lists of our staff, and other information not known to the public.
3. You shall strictly comply with this Agreement. Without our prior written authorization or consent, you shall
not:
(1) Disseminate or disclose our trade secrets to third parties or the general public in any way;
(2) Use our trade secrets for purposes other than those specified in this Agreement.
4. After the termination of this Agreement, you shall return all our trade secrets to us, or destroy all
documents recording our trade secrets under our supervision.
5. The provisions of this Article shall remain valid after the termination of this Agreement.
VI. Liability for Breach of Contract
1. If you violate the provisions of laws and regulations, this Agreement, or the Platform's rules, causing
losses to us and/or our affiliated companies (including direct economic losses, indirect economic losses,
reputation losses, and reasonable expenses and expenditures, etc.), you shall compensate us and/or our
affiliated companies for all the aforementioned losses.
2. Unless otherwise specified in this Agreement, if due to any false statement or warranty made by you, or your
violation of the provisions of this Agreement, or your infringement or breach of contract against third parties,
we are faced with any claims, lawsuits, arbitrations, or other demands, or we suffer losses, you shall take
appropriate measures (including but not limited to coordinating with the third party to resolve disputes) to
ensure that we are free from any claims, lawsuits, arbitrations, etc., and avoid us from suffering losses. In
such cases, we reserve the right to pursue your liability. We have the right to take one or more measures such
as function ban, device ban, account freeze, permanent account ban, suspension of the settlement and payment of
your available income, requiring you to pay liquidated damages, deducting the compensation or liquidated damages
you shall pay us from your income, compensating us for all losses (including direct economic losses, indirect
economic losses, reputation losses, and reasonable expenses and expenditures, etc.), and unilaterally
terminating this Agreement, depending on the severity of your breach.
VII. Modification, Termination, and Cessation of the Agreement
1. We have the right to modify, suspend, or terminate this Agreement when necessary in accordance with changes
in current laws and regulations, and the need to maintain transaction order and protect consumers' rights and
interests. We will notify you through relevant pages. Once the modified Agreement is published on the relevant
pages, it will effectively replace the original Agreement. After the modification of the terms of this
Agreement, if you continue to provide live streaming interactive services as a user of the Platform, it shall be
deemed that you have known and accepted the modified Agreement. If you disagree with any modification we make to
this Agreement, you shall immediately notify us in writing and stop live streaming activities on the
Platform.
2. Both parties may terminate the Agreement upon reaching a consensus on the termination of this Agreement.
3. We may immediately terminate this Agreement without prior notice if you fall under any of the following
circumstances:
(1) We discover that you have violated the representations and warranties made under this Agreement;
(2) Your acts directly or indirectly cause significant damage to the interests of us and/or the Platform;
(3) You violate national laws and regulations;
(4) You violate other obligations specified in this Agreement, the Service Agreement, and/or the Platform's
rules;
(5) You perform this Agreement in a passive, non-cooperative, or other manner that does not meet our
requirements (even if it does not constitute a breach of contract) and fail to correct it within 10 days after
being notified by us;
(6) Due to the occurrence of abnormal circumstances, we believe that you are not suitable to perform the service
matters under this Agreement, and the abnormal circumstances have not been eliminated within 10 days after being
notified by us;
(7) Due to the Company's business adjustment, we no longer conduct live streaming business.
VIII. Miscellaneous
1. You understand and agree that the clauses listed in this Agreement cannot fully enumerate and cover all
rights and obligations between you and us, and the existing agreements cannot guarantee full compliance with the
subsequent development needs of the Platform. Therefore, all existing and subsequent agreements, legal
statements, privacy policies, Platform rules, online announcements, etc. issued by the Platform are
supplementary agreements to this Agreement, which are inseparable from this Agreement and have the same legal
effect.
2. This Agreement shall be governed by and construed in accordance with the laws of Hong Kong, excluding
conflict of laws principles.
3. Any dispute arising out of or in connection with this Agreement (including any question regarding its
existence, validity, or termination) shall be submitted to and finally resolved in accordance with the Hong Kong
International Arbitration Centre (HKIAC) Arbitration Rules (HKIAC Rules) in effect at that time, with the seat
of arbitration in Hong Kong.
4. If any clause of this Agreement is deemed invalid, void, or unenforceable, such clause shall be deemed
severable and shall not affect the validity and enforceability of the remaining clauses of this Agreement.
5. Our failure to exercise, delay in exercising, or insufficient exercise of any right granted to us under this
Agreement or by law shall not be deemed a waiver of such right, nor shall it affect our right to exercise it in
the future.
